Terms of Service

1. Scope and purpose

These terms apply to all services provided by Artekia, including custom software development, AI-powered automation, AI agent implementation, and technology consulting. Each project is additionally formalized through a quote or commercial proposal detailing the specific scope.

2. Description of services

Artekia offers technology and artificial intelligence services for companies, including:

• Custom software development and web/mobile platforms
• AI-powered business process automation
• AI agent and RAG system design and implementation
• Technology consulting and process auditing
• Maintenance and technical support for deployed systems

3. Client obligations

The client agrees to:

• Provide the information and access necessary for project execution.
• Review and approve deliverables within agreed timelines.
• Designate a responsible point of contact for communication with Artekia.
• Comply with the payment deadlines agreed in the quote.

4. Intellectual property

All code, designs, and materials developed specifically for the client shall become the client's property upon full payment of the project. Artekia retains rights to tools, frameworks, and generic components developed internally and used across multiple projects. The client grants Artekia the right to reference the project in its portfolio, unless otherwise agreed in writing.

5. Confidentiality

Both parties agree to maintain the confidentiality of all information exchanged during the commercial relationship. Artekia will sign an additional non-disclosure agreement (NDA) if requested by the client. This obligation shall remain in effect for 2 years after the termination of the commercial relationship.

6. Limitation of liability

Artekia guarantees that services will be provided with professional diligence and in accordance with industry best practices. Artekia's liability is limited to the total amount invoiced for the project in question. Artekia shall not be liable for indirect damages, lost profits, or data loss that are not directly attributable to gross negligence or willful misconduct on Artekia's part.

7. Payment conditions

Payment conditions are specified in each individual quote. In general terms:

• Payments are made by bank transfer or direct debit.
• Standard payment schedules include an initial payment, milestone payments, and a final payment upon delivery.
• Unpaid amounts will accrue interest at the legally applicable rate.
• Artekia reserves the right to suspend services in case of non-payment exceeding 30 days.

8. Termination and cancellation

Either party may terminate the contract with 15 calendar days' notice. In case of early termination, the client shall pay for all work effectively completed up to the notification date. Artekia will deliver all completed work up to that point.

9. Applicable law and jurisdiction

These terms are governed by Spanish law. For the resolution of any dispute, both parties submit to the courts of Madrid, expressly waiving any other jurisdiction that may apply.
